Michael Greenberg, Of Counsel

During Michael’s 20-yr legal career, he has specialized in commercial real estate matters. He is national leasing counsel to a number of major companies, including Wasserstein & Co., New York Magazine, American Lawyer (Incisive Media), Penton Media and Maharam.

Michael is international general counsel and leasing counsel to a restaurant group from Perth, Australia with locations in New York and London. He serves as US general counsel and real estate counsel to two of the world’s wealthiest families. He represents large landlords and developers, including Toll Brothers City Living and TIAA-CREF, in leasing, ground leasing, purchase and sale and financing matters. He has represented retailers, from Urban Outfitters to Gilan, Turkey’s premier society jeweler, in US leasing matters. He also represents a range of owners and developers in the acquisition, sale, financing and development of properties throughout the US and abroad, including a portfolio of 52 properties in 14 states. Michael has structured complex joint ventures, including one between Related Group of Florida and a prominent real estate family for development of a condominium tower in South Florida and another between Fortress Investment Group and a major self-storage operator for the acquisition and management of nine self-storage properties.

Engagements handled by Michael include: retail, restaurant, office and warehouse leasing; distressed lease restructurings and workouts; ground and triple-net leasing; acquisition, sale, financing and development of multi-family residential, office, warehouse and self-storage projects; distressed equity and debt sales, including foreclosures, deed-in-lieu transactions, bankruptcy sales and auctions; acquisition, construction, bridge, mezzanine and preferred equity financings; IRC 1031 exchanges; joint ventures’ equity and debt syndications; air rights matters; deed restrictions and easement agreements; AIA and non-AIA design and construction agreements and the formation and structuring of partnerships and other entities.

Michael serves as Of Counsel to MLF and has been in practice with his own firm since 2004. Prior to that, Michael practiced with Herrick Feinstein LLP in New York and Drinker Biddle & Reath LLP in Philadelphia. Michael received his BA from Wesleyan University in 1988 and his J.D. from Boston University in 1992. He is a member of the Advanced Commercial Leasing Institute of Georgetown University Law Center, which is by invitation only to leading commercial leasing lawyers in North America. Michael has lectured on IRC 1031 exchanges and commercial leasing matters. He is a member of the Design Trust of New York and Project Sunshine, a children’s charity, and is the current co-president of the Scarsdale Little League. Michael is married, a father of three and resides in Scarsdale, New York.
